1. Quotation:

• Items are not eligible for returns or cancellations.
• This Quotation is issued subject to the availability of material at the time of quoting.
• The Quotation is valid until the expiration date mentioned on the document unless an extension is requested beforehand.
• Buyer's acceptance of the delivery of goods confirms their agreement with all Terms and Conditions set forth herein.
• The Customer must pay for all Products delivered or services rendered in accordance with the "Payment Terms" mentioned in this quotation.
• The parties involved in this Quotation agree that all information, documents, data, and any other material exchanged or disclosed in connection with this Quotation shall be treated as strictly confidential. The parties commit not to disclose, reveal, or share this information with third parties without prior written consent from the other party, except where disclosure is required by law. This confidentiality obligation shall persist even after the completion or termination of this negotiation.

2. Order Acknowledgment:

• Items are not eligible for returns or cancellations.
• The Buyer understands and agrees that the goods presented in this Order Acknowledgment are offered contingent upon the Buyer’s agreement to all HERING SRL Terms and Conditions related to the quotation.
• The Buyer’s acceptance of the delivery of goods confirms their agreement with all HERING SRL Terms and Conditions.
• The Customer must pay for all Products delivered or services rendered on the agreed date, in accordance with the payment terms, starting from the date of the Supplier’s invoice. Payment shall be considered completed when the Supplier receives a check or an electronic transfer in their bank account.

3. Delivery Notification:

• After ninety (90) calendar days have elapsed from the notification via email to the CUSTOMER regarding the receipt of the Merchandise at the previously agreed address according to the INCOTERMS in the Order Acknowledgment and its availability for pickup, the CUSTOMER authorizes the SUPPLIER to release its custody obligation and proceed with the application of additional charges for storage of the Goods.
• After one hundred eighty (180) calendar days, the Goods will be considered Abandoned, in accordance with HERING SRL Terms and Conditions.

4. Limitation of Liability:

HERING SRL shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to loss of income, lost profits, business interruptions, or reputational damage, arising from or related to the sale, delivery, or use of products or services. HERING SRL’s liability is limited solely to the replacement or repair of defective goods as per its discretion and only in cases of proven negligence. Under no circumstances shall HERING SRL's liability exceed the total amount paid by the customer for the specific goods or services giving rise to the claim. HERING SRL disclaims all liability for claims related to third-party products or services integrated into its offerings.

5. Product Warranty:

All warranties are subject exclusively to the terms and conditions established by the product manufacturer. HERING SRL does not provide any additional warranty terms beyond those specified by the manufacturer. HERING SRL makes no representations or warranties, express or implied, outside of those provided by the manufacturer, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. HERING SRL shall not be responsible for any claims arising from misuse, improper handling, unauthorized modifications, or failure to follow maintenance instructions as provided by the manufacturer. Warranty claims must be submitted in writing within the warranty period stipulated by the manufacturer, and HERING SRL reserves the right to inspect, assess, and determine the validity of any claim at its sole discretion in line with the manufacturer's guidelines. All warranty claims outside the manufacturer’s warranty period are strictly excluded. 

6. Force Majeure:

HERING SRL shall not be held liable for any failure or delay in fulfilling its obligations due to circumstances beyond its reasonable control, including, but not limited to, natural disasters, labor disputes, strikes, shortages or delays in raw materials or transportation, customs clearance delays, port congestion, global supply chain disruptions, pandemics, epidemics, acts of war or terrorism, government regulations, embargoes, political instability, power outages, or cyber-attacks. In such cases, HERING SRL reserves the right to extend delivery times, adjust the terms of the order, or cancel the order without incurring penalties or liability. The customer acknowledges and agrees that any such delays do not entitle them to compensation, refunds, or any other form of remedy from HERING SRL.

7. Intellectual Property:

All designs, technical materials, documents, and proprietary information provided by HERING SRL, whether in physical or electronic form, remain the exclusive intellectual property of HERING SRL. Customers are strictly prohibited from reproducing, disclosing, distributing, or using such intellectual property for any purpose other than the agreed-upon use without prior written consent from HERING SRL. Any unauthorized use or reproduction will result in immediate termination of the agreement and may subject the customer to legal action. All rights reserved by HERING SRL are protected under applicable copyright, patent, and trademark laws.

8. Late Payment Conditions:

Any late payments will incur additional charges at the maximum interest rate permitted by applicable law, compounded monthly, until full payment is received. HERING SRL reserves the right to suspend deliveries or services to the customer and may apply any payments received towards outstanding interest and fees before the principal amount. The customer shall be responsible for any legal fees, collection fees, or other costs incurred by HERING SRL in recovering overdue payments. Late payments may also result in the termination of any discounts or favorable terms previously extended to the customer.

9. Returns and Refunds in Special Cases:

Returns are strictly not accepted unless in cases of verified manufacturing defects, as determined solely by HERING SRL. In such cases, customers must notify HERING SRL within five (5) business days of receiving the goods and provide detailed evidence of the defect. Any returns accepted by HERING SRL will be subject to specific return procedures and conditions established by the company, including shipping and handling fees at the customer’s expense. HERING SRL reserves the right to issue credit instead of cash refunds at its discretion. No refunds or returns are accepted after thirty (30) days from the delivery date, even in cases of verified defects.

10. Governing Law and Dispute Resolution:

These terms and conditions shall be governed by and construed in accordance with the laws of the Dominican Republic, without regard to its conflict of law principles. The customer agrees that any disputes arising out of or in connection with these terms shall be resolved exclusively through binding arbitration conducted in the Dominican Republic, unless HERING SRL opts to pursue claims in court. In any such proceedings, each party shall bear its own legal fees and costs, regardless of the outcome, unless otherwise ordered by the court or arbitrator.

11. Modification of Terms:

HERING SRL reserves the right to modify these terms and conditions at any time. Any modifications will become effective thirty (30) days after notification to the customer, either through email, website updates, or other appropriate communication channels. Continued use of HERING SRL's products or services after the effective date of the modifications constitutes acceptance of the new terms and conditions. HERING SRL disclaims any obligation to inform customers individually of changes in terms, except as otherwise required by applicable law.
